We understand that by using Work and Progress, you will be storing information
on our servers which is of a confidential and proprietary nature. We take our security
very seriously and are willing do what ever it takes to prove that to you.
As part of your
licensing agreement, we will enter into a Non-Disclosure Agreement
guaranteeing that we shall:
Treat the Confidential Information as strictly and absolutely confidential, and
shall not disclose or permit the disclosure of, publish or disseminate the
Confidential Information under any circumstances to any person, partnership,
corporation, organization, or association.
Ensure that all of our employees who have access to the Confidential
Information have agreed and are bound by the terms and conditions of the
Non-Disclosure and Non-Competition Agreement.
Take all reasonable precautions against the Confidential Information being
used or acquired by any unauthorized person or person.
Other than when data back-ups are performed by Work and Progress, we will not
make any copies or notes relating to the Confidential Information.
Furthermore, We shall not through the specific use of the
Confidential Information,
either alone or in conjunction with any individual, firm, corporation,
association or other entity, whether as principal, agent, shareholder,
employee, or in any other capacity whatsoever:
Carry on, or be engaged in, concerned with or interested in, directly or
indirectly, any business which is in whole or in part competitive with your
business.
Attempt to solicit any of your suppliers, customers, or employees.
Knowingly take any act as a result of which the relations between your
business and your suppliers, customers or employees may be impaired or which
may otherwise be detrimental to your business.
